Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or the "Customer") and akanoodles holdings limited, a company registered in England & Wales (number 16289830) ("akanoodles", "we", "our"). By accessing or using Drop you agree to these Terms.

1. The service

"Drop" means the Figma plugin Drop Design System, the ship-mcp Docker container, the website at drop.akanoodles.com, and any related APIs and edge functions we operate (together, the "Service").

The Service extracts design tokens from Figma, generates production code in multiple frameworks, runs visual validation, and integrates with version-control systems. Code generation runs locally on your own machine via the ship-mcp Docker container; design files do not leave your environment.

2. Your account

You are responsible for keeping your account credentials secure and for all activity under your account. Tell us promptly at security@akanoodles.com if you suspect unauthorised use.

You must be at least 13 years old to use Drop. If you sign up on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

3. Subscription plans

Drop is offered on four plans, each with the limits and features described on our pricing page:

Enterprise Unlimited everything plus SSO, audit log, on-prem deployment, SLA, MSA

"Design system" means a Figma file (identified by its file key) bound to your account. Once bound, the slot persists until released. One free slot release per account per rolling year is included; further releases require a support request.

"Active session" means a logged-in plugin session that has heartbeat activity in the last 30 minutes. Concurrent sessions above your plan's limit are handled by a confirm-replace flow described in the plugin UI.

4. Fees, billing, and tax

Plan prices are shown on our pricing page in pounds sterling (£) and are exclusive of VAT. UK VAT and equivalent foreign indirect taxes are added at checkout where applicable. Stripe handles tax calculation. EU and UK B2B customers may enter a valid VAT number to apply reverse charge.

Solo, Pro, and Team are billed monthly or annually at your choice. Enterprise is billed annually only.

Fees are payable in advance. We use Stripe as our payment processor; Stripe's terms apply to the payment leg of the transaction (stripe.com/legal/end-users).

If a payment fails, we will retry per Stripe's standard schedule. Continued failure may result in your subscription moving to past_due and, after a grace window, suspension of access.

5. Refunds and cancellation

See our separate Refund Policy. In summary: paid Drop periods are non-refundable, subject to your non-waivable statutory rights under the Consumer Rights Act 2015. By starting a paid subscription you give express consent for the licensed software to be made available immediately and acknowledge that this causes the 14-day cancellation right under the Consumer Contracts Regulations 2013 (Reg 37(1)(a)) to be lost. Enterprise refunds are governed by your Master Services Agreement.

You may cancel any subscription at any time from your account or by emailing support@akanoodles.com. Cancellation takes effect at the end of the current billing period; you keep access until then.

6. Acceptable use

You will not, and will not permit anyone else to:

Breach of this section may result in suspension or termination without refund, in addition to any other remedy available to us.

7. Intellectual property

Drop's IP. akanoodles owns all rights in the Drop plugin, the ship-mcp Docker image, the website, the documentation, and the trademarks "Drop" and "Drop Design System". You receive a non-exclusive, non-transferable licence to use Drop while your subscription is active and in good standing.

Your IP. You retain all rights in your designs, your tokens, and the code generated by Drop on your behalf. We claim no licence to your design files (which we never see) or to the output code Drop produces.

Feedback. If you send us feedback or suggestions, you grant akanoodles a perpetual, royalty-free, worldwide licence to use that feedback to improve Drop, without obligation to compensate or credit you.

8. Privacy and data protection

Our processing of personal data is governed by our Privacy Policy. Customers on the Pro, Team, or Enterprise tier processing personal data through Drop are also subject to our Data Processing Addendum, which forms part of these Terms by reference.

9. Service availability

We aim to make Drop available continuously but we do not guarantee uninterrupted access to Solo, Pro, or Team plans. Maintenance windows may occur without notice. The Enterprise plan includes a contractual SLA (99.5% monthly uptime, 4-hour critical-incident response) defined in the Master Services Agreement.

10. Beta features

We may release features marked "Beta" or "Preview". These may change, be removed, or break compatibility without notice and are provided "as is" without any warranty. Use them at your own discretion.

11. Disclaimers

To the maximum extent permitted by law, Drop is provided "as is" and "as available". We disclaim all warranties not expressly granted in these Terms, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the code Drop generates is error-free, suitable for production use without review, or compliant with any specific accessibility, security, or regulatory standard. You are responsible for reviewing and testing generated code before deployment.

12. Limitation of liability

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable law (including under the UK Consumer Rights Act 2015 for consumer customers).

Subject to that, to the maximum extent permitted by law:

13. Indemnity

You will indemnify akanoodles against third-party claims arising from your breach of §6 (Acceptable use) or your misuse of Drop's outputs in a manner that infringes the rights of others.

14. Termination

You may terminate at any time by cancelling your subscription. We may terminate or suspend your account if you materially breach these Terms (including §6) or repeatedly fail to pay. Upon termination, your access ends; data retention continues per our Privacy Policy.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance by email and via the plugin update flow. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that consumer customers may bring proceedings in the courts of their country of residence where local law so permits.
